Das Wesen und die Haftungsverfassung der Gesellschaft bürgerlichen Rechts (GbR) bilden seit jeher einen zentralen Streitgegenstand im Recht der Personengesellschaften. Das Grundsatzurteil des Bundesgerichtshofs vom 29.01.2001 und die darauf gründenden Folgeurteile haben zwar einige umstrittene Fragen beantwortet, gleichzeitig aber neue Probleme aufgeworfen. Peter Ulmer hat durch seine mittlerweile in der 4. Auflage erschienenen Kommentierung der 705 ff. BGB im Münchener Kommentar zum Bürgerlichen Gesetzbuch sowie durch zahlreiche Einzelbeiträge das Recht der GbR ma gebend für Wissenschaft und Praxis geprägt. Seine Lehre zur Rechtsnatur und Haftungsverfassung der GbR weist eine eigendynamische Entwicklung mit teilweise gewichtigen Umbrüchen auf. Diese zeichnet die Autorin nach und untersucht sie unter Einbeziehung und Auswertung der neueren höchstrichterlichen Rechtsprechung auf ihre Stringenz. Die Lehre Ulmers zu den 705 ff. BGB dient der Autorin damit als Ausgangspunkt und Argumentationsgrundlage für eine eigene fachliche Auseinandersetzung mit einigen wesentlichen Fragen zu vorgenannten Problemkreisen.

About The Author

Die Autorin: Nicole Hasselmann wurde 1978 in Verden an der Aller geboren und begann 1998 das Studium der Rechtswissenschaften an der Universität zu Kiel. Die Erste juristische Staatsprüfung legte sie Ende 2003 am Schleswig-Holsteinischen Oberlandesgericht ab. Als Wissenschaftliche Mitarbeiterin an der Rechtswissenschaftlichen Fakultät der Universität zu Kiel fertigte sie ihre Dissertation an. Die Promotion erfolgte 2007. Seit Anfang 2006 absolviert die Autorin den juristischen Vorbereitungsdienst in Hamburg.
