Während einige Journalisten über Parallelen mit dem Börsencrash im Jahr 1929 berichten, gelingt es einem Chinesen mit dem Namen Jack Ma mit Alibaba den bisher grö ten Börsengang aller Zeiten zu erzielen. Investoren konnten sich dabei über 320 Millionen Aktien zu einem Emissionspreis von 68 Dollar freuen, wobei der faire Wert der Aktie zwischen 66 und 68 Dollar ermittelt wurde. Dabei dauerte es nicht einmal zwei Monate bis viele Anleger Zeichnungsgewinne von über 30% erreichen konnten. Wie ist es möglich, dass ein derartiger Erfolg erzielbar ist, wenn der Emissionspreis schon den höchsten Wert innerhalb der Preisspanne von 66 bis 68 Dollar annahm? Eine Antwort auf diese Frage ist wohl hypothetisch. Jedoch besteht die Möglichkeit, eine Betrachtung des derzeit gängigen Preisfindungsverfahrens bei Neuemissionen und Einflussmöglichkeiten von Akteuren auf den Börsenkurs vorzunehmen. In Anlehnung daran lautet das Thema dieser Arbeit: Bookbuilding und Kurspflege. Das Ziel der vorliegenden Arbeit ist die Vorstellung des Bookbuilding - Verfahrens im Zusammenhang mit Kurspflegema nahmen, um daraus eine Aussage über die Güte des Verfahrens zur Preisfindung bei Erstemissionen zu treffen. Es wird unterstellt, dass eine erstmalige Börsenplatzierung unter einer Fremdemission durch Konsortialbanken erfolgt. Au erdem wird nicht weiter auf Abwandlungen des Verfahrens im internationalen Kontext eingegangen. Weiterhin werden nur Kurspflegema nahmen durch die Emissionsbanken, Emittenten oder die Altaktionäre betrachtet, die zeitlich mit Beginn des Preisfindungsverfahrens möglich sind.
