Hierdurch soll das Vertrauen der Öffentlichkeit in die Verlässlichkeit von Jahresabschlussinformationen gewahrt werden. Jedoch lie en in der Vergangenheit zahlreiche Bilanzskandale verstärkt Zweifel an der Integrität des Prüferberufs und an deren Urteilsfähigkeit aufkommen.1 Wird das Vertrauen der Öffentlichkeit in die Verlässlichkeit der in den Unternehmensabschlüssen enthaltenen Informationen beeinträchtigt, so bedarf es besonderer Anstrengungen seitens des Gesetzgebers, um dieses wiederherzustellen. Auf die Bilanzskandale und die daraus folgenden Unternehmenszusammenbrüche (Enron und Worldcom2), reagierte der amerikanische Gesetzgeber mit der Verabschiedung des Sarbanes Oxley Act (SOX).3 Die wesentliche Gemeinsamkeit bei-der Skandale bildeten die zweifelhaften Bilanzierungspraktiken, die von den Abschlussprüfern nicht entdeckt oder gar verschwiegen wurden.4 Daher befasst sich das Gesetz zum einen mit der Selbstregulierung der Wirtschaftsprüfer und zum anderen mit der Corporate Governance5 von kapitalmarktorientierten Unternehmen.6 Das Gesetz "entfaltet exterritoriale Wirkung"7, da auch ausländische Prüfungsgesellschaften zur Einhaltung der Bestimmungen des SOX verpflichtet wer-den, sofern sie Leistungen für kapitalmarktorientierte Unternehmen erbringen, die bei der US-amerikanischen Börsenaufsicht Securities und Exchange Commission (SEC) registriert sind. Die Bilanzskandale in den USA und der EU haben der EU-Kommission ebenfalls vor Augen geführt, wie wichtig die Abschlussprüfung für die Verlässlichkeit und die Glaubwürdigkeit des Jahresabschlusses von Unternehmen ist.
