Einige Beispiele sind die Fusion von Daimler-Benz mit der Chrysler Corp., von Hoechst mit Rhone-Poulenc sowie die Übernahme von Bankers Trust durch die Deutsche Bank. Trotz all der Euphorie die durch solche Mergers & Acquisitions-Transaktionen entsteht, bleibt eine Akquisition nicht ohne Risiko. Erhebliche Misserfolge im Rahmen einer Unternehmensübernahme können die Folge sein, wobei Misserfolge nicht zwangsläufig ein formales Scheitern bedeuten, sondern vielmehr, dass die erwünschten Ziele, wie Synergiepotenziale, Marktdurchdringung etc., gar nicht oder nur ungenügend erfüllt werden. Für solche Misserfolge sind in erster Linie folgende Punkte verantwortlich: 1. Überbewertung von möglichen Synergieeffekten 2. Ungleiche Strategien der fusionierenden Unternehmen 3. Mangelhafte Integration des zu akquirierenden Objektes in den Unternehmensverband des Akquisiteurs 4. Unzureichende Innovationskraft des zu übernehmenden Unternehmens Die meisten der für einen drohenden Misserfolg auserwählten Gründe lassen sich durch eine bewusste, systematische, professionelle Untersuchung der Unternehmenschancen und Risiken minimieren. Dieser Prozess der Prüfung wird Due Diligence genannt. Der Begriff "Due Diligence" hat seinen Ursprung im angloamerikanischen Rechtswesen, insbesondere in den kapitalmarktrechtlichen Vorschriften der USA, den sogenannten securities laws. Bei den securities laws handelt es sich um einen bundesrechtlichen Normenkomplex zur Information und zum Schutz von Anlegern und der Öffentlichkeit.
