Um dies zu gewährleisten ordnet die Seminararbeit die GmbH zunächst in das Gefüge der Gesellschaftsformen ein und erläutert ihre Organe näher. Fortfolgend werden verschiedene Gründungsmöglichkeiten dargestellt. Der Hauptfokus der Arbeit wird nachfolgend auf den Merkmalen, Rechtsgrundlagen und Haftungsrisiken der Gründungsphasen liegen. In besonderer Weise wird ebenfalls Augenmerk auf den Gesellschaftsvertrag der GmbH gelegt. Abschlie end gibt die Hausarbeit eine Zusammenfassung der wichtigsten Aspekte des Themas. Innerhalb der Hausarbeit werden zudem relevante Rückschlüsse auf den Sachverhalt gezogen. Diese werden durch die, auf den Sachverhalt bezogenen Rückschlüsse in der Zusammenfassung, abgerundet. Der GmbH als Rechtsform kommt eine besondere Bedeutung zu, da Sie die meistgewählte Rechtsform in Deutschland darstellt. So ist es notwendig die Besonderheiten und Risiken ihrer Gründung näher zu beleuchten.1 Diese Seminararbeit beschäftigt sich mit dem Sachverhalt, dass die beiden Angestellten eines Immobilienmaklerbüros, X und Y in diesem Bereich gemeinsam eine Existenz gründen wollen. Zusätzlich erachten sie es für sinnvoll mit ihrem zu gründenden Unternehmen die Geschäftszweige Bauträgerprojekte und Projektentwicklung abzudecken. Da sie nicht persönlich haften wollen, entschlie en sie sich eine GmbH zu gründen.
