Der klassische Bankkredit und die Fremdkapitalfinanzierung waren und sind die dominierenden Säulen der Unternehmensfinanzierung. Doch durch Veränderungen in der Gesetzgebung, speziell durch die MaRisk und die Einführung von Basel II, wird es für die Banken immer schwieriger, den Kapitalbedarf der Unternehmen zu befriedigen. Doch warum ist das so? Basel II erfordert eine risikoorientierte Bepreisung der Kreditkonditionen. Das Rating klassifiziert den Darlehensnehmer systematisch in Risikoklassen. Je höher die Risikoklasse ist, desto mehr haftendes (teures) Eigenkapital muss von den Kreditinstituten hinterlegt werden. Dies führt dazu, dass Banken bei der Vergabe von risikoreicheren Krediten tendenziell zurückhaltender agieren. Ein Aspekt, der das Rating der Unternehmen stark beeinflusst, ist die Eigenkapitalausstattung. Nicht zuletzt auf Grund der Finanzmarktkrise und der damit einhergehenden Kreditklemme ist es für Unternehmen wichtig, die Eigenkapitalbasis noch weiter zu stärken und auszubauen. Die daraus tendenziell resultierende Ratingverbesserung führt zu einer leichteren Kapitalbeschaffung und zur Reduzierung der Fremdkapitalkosten. Aus aktuellem Anlass wird daher in dieser Arbeit das Hauptaugenmerk auf die Methoden der Eigenkapitalbeschaffung, sowie der eigenkapitalähnlichen mezzaninen Finanzierungsformen gelegt. Nichts desto trotz werden alle weiteren gängigen Formen der Kapitalbeschaffung kurz dargestellt, damit die Arbeit dem Anspruch, einen Überblick über die Möglichkeiten der Kapitalbeschaffung zu geben, gerecht wird.
