Der Betrachtungsschwerpunkt liegt dabei auf Aktiengesellschaften (AG) beziehungsweise Gro unternehmen. Dabei werden neben den Vergütungsinstrumenten auch geeignete Steuerungskennzahlen zur Performancemessung betrachtet, um abschlie end ein Gestaltungskonzept abzuleiten. Bereits seit Beginn der neunziger Jahre gibt es in deutschen Unternehmen den Trend zur stärkeren Orientierung am Unternehmenswert. Insbesondere ausländische Investoren setzen eine wertorientierte Governance, wie sie in den USA seit längerer Zeit praktiziert wird, voraus. Ziel der Unternehmensführung ist bei dieser strategischen Ausrichtung eine langfristige Erhöhung des Unternehmenswertes. Der Deutsche Corporate Governance Kodex empfiehlt ebenfalls eine Orientierung am langfristigen Unternehmenserfolg, um auf diese Weise die Ziele der Share-Holder zu verfolgen. Zur Angleichung der Interessen der Manager und Eigentümer (Share-Holder) werden Anreizsysteme verwendet. Im Rahmen der wertorientierten Governance ist die Partizipation am Unternehmenserfolg eine wichtige Voraussetzung im globalisierten Wettbewerb um Spitzenkräfte. Nach der globalen Finanzkrise rückte die Frage nach einer guten Unternehmensführung erneut in den öffentlichen Fokus. Insbesondere die Vergütungselemente der Anreizsysteme standen häufig in der Kritik.
