Die Property-Rights-Theorie bildet einen der Bausteine der Neuen Institutionenökonomik (siehe dazu Abb.1). Der Begriff wurde von Oliver Williamson geprägt und bezeichnet die neue Forschungsrichtung der ökonomischen Analyse von Institutionen wie "Eigentum", "Vertrag" und "Unternehmung" in ihren unterschiedlichen Ausprägungen. In der Property-Rights-Theorie werden realistischere Annahmen über menschliches Verhalten und die Informationsaufnahme getroffen. Des weiteren wird der Rahmen der Untersuchung erweitert, indem traditionell in der ökonomischen Theorie ausgesparte Rahmenbedingungen (Recht, Institutionen) in die Analyse einbezogen werden. Die Property-Rights-Theorie stellt mehr ein Forschungsprogramm oder Paradigma dar als eine in sich geschlossenen Theorie. Dies ist begründet in der Tatsache, dass verschiedene Konzepte von analytischen Methoden vereinigt wurden und zum anderen die Anwendungsmöglichkeiten dieses Ansatzes sehr vielfältig sind. Im Finanzmanagement vieler Unternehmen spielt heute die Finanzchemie oder das Financial Engeering eine zentrale Rolle. Hierbei werden komplexe Finanzinstrumente in ihre Einzelbestandteile zerlegt (Stripping) oder Finanzinnovationen im Wege der Synthese bekannter (originärer und derivativer) Finanzinstrumente neu entwickelt (Replicating). Beim Stripping wird der Wert eines Finanztitels über den Markt festgestellt. Aus der Zusammenfassung der Einzelwerte ergibt sich dann der Wert der Finanzkonstruktion. Beim Replicating werden die Basiselemente, Zahlungsreihen, Optionen etc. für den jeweiligen Finanzierungsfall optimal
